Founded in 1953, Degroux Brugère has historically been specialised in providing tax advice to family groups and private clients including corporate founders and managers, more specifically on business transfers matters, mergers and acquisitions, asset management as well as tax audits.
The firm has also developed a strong corporate practice, allowing the team to accompany their clients on tax-related matters as well as daily legal issues, transactional work and restructuring for French or foreign private clients, companies or investors.
Litigation achieve the firm’s offer and gives it a multidisciplinary capacity of action.
The founding partners have been joined in recent years by younger partners who convey a dynamic and entrepreneurial vision of the profession, while remaining deeply attached to the original values of the firm: excellence and quality in client relations.
Today, Degroux Brugère gathers eleven partners and some twenty associates and legal professionals.
Tax: The team offers high-end counselling, based on a specific knowledge of the needs of private clients, firms and groups issues, a crosscutting culture enabling the integration of complex legal and tax implications, and a network of partners in France and abroad, in order to implement recommended solutions in the most efficient way.
Corporate and transactional (M&A/private equity): Degroux Brugère supports companies, their managers and/or shareholders, as well as investment funds, in all their operations of transfer or acquisition of assets and participations, investments, LBOs as well as profit-sharing plans.
The firm provides legal assistance to listed and non-listed companies on corporate law matters, governance issues, shareholders relations and directors' liability.
Restructuration: Both in prevention (conciliation, ad hoc mandate) and insolvency proceedings, our restructuring team has an in-depth knowledge of financing mechanisms of companies, as well as corporate and tax issues which companies have to face. Furthermore, the team has a strong judicial experience of insolvency proceedings that facilitates the definition of the strategy as well the control over the court schedule.
Our firm implemented a multidisciplinary and responsive team to advise our clients (debtors, shareholders, directors, receivers, as well as creditors and potential buyers) at various stages(ad hoc mandate, conciliation, safeguarding proceedings, receivership and liquidation, liability cases against legal or de facto managers.
Litigation: The litigation team is both specialised in the operation of jurisdictional procedures, legal risk evaluation in M&A operations and the implementation of commercial contracts but also in handling disputes and negotiations within a conflicting context.
